These RYDEPRO Terms of Service ("Terms") establish the rules and conditions for participation in the optional RYDEPRO Platform ("Program" or the "Platform"). The Platform is offered by RYDEPRO ("Company," "we," "us," or "our"). By enrolling in or participating in RYDEPRO ("Rider," "you," or "your") agree to comply with and be legally bound by these Terms. Your participation is also governed by the RYDEPRO Terms of Service, Privacy Policy, and all other applicable platform policies, which are incorporated herein by reference. If you do not agree to these Terms in their entirety, you are not authorized to participate in RYDEPRO.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Rider," "you," or "your") and RYDEPRO, Inc. ("RYDEPRO," "we," "us," or "our"), a Wyoming corporation. These Terms govern your access to and use of the RYDEPRO mobile application, website, and related services (collectively, the "RYDEPRO Platform") within the United States and its territories and possessions.

These Terms apply to all Riders using the RYDEPRO Platform in the United States. If you use RYDEPRO outside the United States, you agree to be subject to the terms of service applicable in that jurisdiction.

By accessing or using the RYDEPRO Platform, including by creating an account, making a Booking, or receiving any Transportation Services, you hereby affirm, represent, and warrant that you accept these Terms in their entirety.

Your continued use of the RYDEPRO Platform after any amendment to these Terms, made in accordance with Section 38, constitutes your acceptance of such amended Terms. RYDEPRO will provide notice of material amendments as required by applicable law.

RYDEPRO operates a technology platform that serves solely as a digital marketplace to connect Riders with independent third party Drivers. Drivers include, without limitation, individual owner operators, fleet operators, limousine companies, charter carriers, and livery companies. RYDEPRO is not a transportation carrier, common carrier, contract carrier, or motor carrier, and does not own, operate, or control any vehicle used to provide Transportation Services.

RYDEPRO makes no guarantee that any Driver will accept a Booking, that any Ride will be completed, or that any Driver will arrive at the time specified, including for Scheduled Rides or Reservations. Any liability of RYDEPRO arising from Transportation Services is subject to the limitations set forth in Section 16.

Nothing contained in these Terms shall be construed to create an agency, partnership, joint venture, employment, or franchise relationship between you and RYDEPRO. RYDEPRO is not an agent of any Rider or any Driver, and no Rider or Driver is an agent of RYDEPRO.

RYDEPRO assumes no responsibility for the conduct, whether online or offline, of any Rider or any Driver. Riders and Drivers interact and contract solely at their own risk. RYDEPRO does not endorse any Driver, and, except as expressly provided in Section 49 (Safety, Driver Vetting, and Incident Reporting), RYDEPRO makes no representation or warranty regarding the suitability, reliability, timeliness, or accuracy of any Driver.

5.1 Who May Use RYDEPRO

To open and keep an account on the RYDEPRO Platform, you must be at least eighteen (18) years of age, a resident of the United States (or an authorized territory), and in legal capacity to enter into a binding contract. You must not share your account credentials with anyone else. Violation of Section 13 (Rider Conduct) may result in immediate suspension or termination of your account.

5.6 One Account Per Rider

You may have only one active RYDEPRO account. RYDEPRO may suspend or terminate any account that breaks this rule. RYDEPRO may also refuse to open an account for anyone for any lawful reason, including past violations of these Terms or a history of fraud.

6.1 Multilayered Identity Verification

RYDEPRO employs a multilayered identity verification process to protect the security and integrity of the RYDEPRO Platform. By creating an account, you authorize RYDEPRO to collect, verify, and process your personal information, including but not limited to your name, date of birth, government-issued identification, and payment information.

6.6 Authorization Holds

RYDEPRO may obtain a temporary pre-authorization hold on your payment method at the time of Booking, as described in Section 43.

7.1 Submission of a Booking

When you submit a request for Transportation Services through the RYDEPRO Platform, you are offering to enter into a contract with a Driver for the specific Ride described in your request. A request may be submitted as an On Demand Ride, Instant Ride, Scheduled Ride, or Reservation (each, a "Booking").

7.7 Modifications After Confirmation

Once a Booking is confirmed, you may modify the pickup location, destination, or stops only through the RYDEPRO Platform. The Driver may accept or reject any modification. Any modification may result in a change to the fare, including additional wait time fees or distance charges.

8.1 Prohibition on Unaccompanied Minors – General Rule

No individual under the age of eighteen (18) years may use the RYDEPRO Platform or receive Transportation Services through the RYDEPRO Platform unless accompanied by a parent or legal guardian who remains with the minor for the entire duration of the Ride. Unaccompanied minors are strictly prohibited, except as expressly provided in Section 8.2.

8.9 Reliance on Representations; No Guarantee

RYDEPRO relies on the representations and warranties made by Riders under this Section 8. RYDEPRO does not guarantee that any Rider is of legal age, and RYDEPRO shall not be liable for any loss arising from a Rider's misrepresentation of age. Verification under Section 8.6 is not a guarantee of compliance.

If you use the RYDEPRO Platform on behalf of a business, organization, government entity, or any other legal entity (each, a "Business Customer"), you represent and warrant that you have the legal authority to bind that entity to these Terms. The Business Customer shall be fully bound by these Terms to the same extent as an individual Rider.

No agency, partnership, joint venture, or fiduciary relationship is created between RYDEPRO and any Third Party Rider. RYDEPRO owes no direct contractual obligation to any Third Party Rider who is not an account holder.

RYDEPRO facilitates gratuity payments to Drivers as a separate category of payment, distinct from the fare. Gratuities are entirely optional and not required to complete a Ride. Gratuities may be offered through the RYDEPRO Platform or through alternative methods as permitted by applicable law.

All gratuities are final and non-refundable once submitted and accepted by the Driver, except in cases of fraud or error as determined by RYDEPRO in its sole discretion.

15.1 "As Is" and "As Available" Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RYDEPRO PLATFORM AND ALL TRANSPORTATION SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RYDEPRO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE RYDEPRO PLATFORM OR ANY TRANSPORTATION SERVICES.

The disclaimers in this Section 15 are in addition to, and not in limitation of, the assumption of risk and allocation of responsibility set forth in Section 14. Sections 14 and 15 shall be interpreted to provide cumulative protections to RYDEPRO to the maximum extent permitted by applicable law.

16.1 Maximum Extent Permitted by Law

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RYDEPRO, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, PAYMENT PROCESSORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO THESE TERMS, THE RYDEPRO PLATFORM, OR ANY TRANSPORTATION SERVICES.

18.1 Rider Indemnification Obligation

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless RYDEPRO, its affiliates, licensors, service providers, payment processors, officers, directors, employees, agents, successors, and assigns (collectively, the "RYDEPRO Parties") from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to your use of the RYDEPRO Platform or any violation of these Terms.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES YOU TO ARBITRATE DISPUTES WITH RYDEPRO ON AN INDIVIDUAL BASIS, RATHER THAN PURSUING CLAIMS IN COURT OR AS PART OF A CLASS ACTION. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS PROVIDED IN SECTION 19.11.

Any dispute, claim, or controversy arising out of or relating to these Terms, the RYDEPRO Platform, or any Transportation Services shall be resolved by binding arbitration, except as otherwise provided in these Terms or by applicable law.

20.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the RYDEPRO Platform, or any Transportation Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles, except as otherwise required by applicable federal law.

RYDEPRO provides fare estimates at the time of Booking, which are non-binding and subject to change based on actual route, traffic conditions, surges in demand, and other factors. Final fares are calculated upon completion of the Ride based on actual distance, time, and applicable surcharges or discounts.

Dynamic pricing may apply during periods of high demand. Regulatory charges, airport fees, and toll charges are calculated separately and added to the fare.

If you have any questions, concerns, or disputes regarding your Ride or charges, please contact RYDEPRO customer support. RYDEPRO will investigate disputes and may issue refunds, credits, or adjustments as appropriate.

If you suspect fraudulent activity on your account, you must report it to RYDEPRO immediately. RYDEPRO will conduct an investigation and take appropriate action to protect your account.

By using the RYDEPRO Platform, you consent to the collection and use of your real-time geolocation information for the purposes of matching you with Drivers, calculating fares, providing navigation services, and ensuring safety and compliance with these Terms.

You may disable geolocation services through your device settings, but doing so may prevent you from using certain features of the RYDEPRO Platform.

RYDEPRO facilitates gratuity payments to Drivers as a separate category of payment, distinct from the fare. Gratuities are entirely optional and not required to complete a Ride. Gratuities may be offered through the RYDEPRO Platform or through alternative methods as permitted by applicable law.
